1. Introduction

These Terms and Conditions (“Terms”) govern participation in the Regent IT Grants, publicly referred to as the “Based Agent Grants” or “BAG” Program (the “Program”), operated by Regent IT Inc., a company incorporated in the British Virgin Islands (“Regent”, “we”, “our”, or “us”).

By applying to or participating in the Program, you (“Applicant”, “you” or “your”) agree to be bound by these Terms. If you do not agree, do not apply to or participate in the Program.

2. Program Overview

The Program provides grants in the form of funding, resources, or advisory services to selected teams or projects prior to their token launch in exchange for an agreed percentage of the total future token supply (the “Grant Tokens”).

The Grant Tokens received by Regent AI are allocated back into the Program fund to support future grants and recipients.

No Investment or Security

Participation in the Program and any grant awarded does not constitute an investment, equity interest, or debt obligation in Regent AI or the Applicant. Nothing in these Terms or any Grant Agreement shall be interpreted as an offer of securities or investment products. Applicants should not expect any profits or financial returns from Regent as a result of participation in the Program.

3. Eligibility

To be eligible for the Program, you must:

3.1. Be a legally registered entity or individual with the authority to enter into binding agreements.

3.2. Have your principal place of business and operational activities outside of any jurisdiction subject to sanctions or restrictions under:

Restricted jurisdictions include, without limitation: Afghanistan, Belarus, Central African Republic, Cuba, Democratic Republic of the Congo, Iran, Iraq, Libya, Myanmar, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Ukraine (Crimea, Donetsk, Luhansk regions), Venezuela, Yemen, and Zimbabwe.

3.3. Not be owned or controlled by, or acting on behalf of, any individual or entity in a restricted jurisdiction.

3.4. Not be engaged in unlawful activities, including but not limited to money laundering, terrorism financing, fraud, or activities that violate applicable securities laws.
